TERMS AND CONDITIONS OF USE
To become an eMerchant Association user, accept all the terms and conditions of this agreement as well as our Privacy Policy. In the event of any inconsistency between the eMerchant Association Privacy Policy and this User Agreement, the User Agreement shall prevail. If you do not agree to be bound by the terms of this Agreement, you may not use or access the eMerchant Association services (the
“platform”). For the purposes of this agreement “You” or “Your” means any merchants, business owners, professionals or vendor using this service.
eMerchant Association reserves the right to modify this Agreement at any time, and without prior notice, by posting amended terms on this Agreement through the following URL: . Your continued use of the eMerchant Association website indicates your acceptance of this User Agreement and any amendments hereto. eMerchant Association is a networking tool providing a forum for merchants, business owners and professionals to connect with vendors providing various ecommerce solutions.
Membership is available to traditional brick and mortar, online merchants, and vendors that provide commerce / ecommerce solutions. The eMerchant Association platform is not available to minors under the age of 18 or to any Users suspended or removed from the system by eMerchant Association for any reason. Additionally, Users are prohibited from selling, trading, or otherwise transferring their eMerchant Association account to another party. If you do not qualify, you may not use eMerchant Association. eMerchant Association may deny use of the platform to any user.
Vendors are responsible for keeping their billing information current including expiration dates, billing address, etc. Failure to do so will result in a discontinuation of the Vendors access to the platform.
Your use of eMerchant Association is governed by these Terms and Conditions of Use. eMerchant Association may refuse service without prior notice to any user for any or no reason. User is responsible for maintaining the confidentiality of your password and account and are fully responsible for all activities that occur under your password or account with or without your knowledge. If you (excluding employs associated with your business) knowingly provide your login and password information to another person, your account privileges may be terminated. You agree to immediately notify eMerchant Association of any unauthorized use of your password or account associated with any breach of this platform. eMerchant Association will not be liable for any loss or damage arising from your failure to comply with this section.
eMerchant Association provides a forum for its members to interact with other members using the platform. The views, opinions, and communications expressed by any vendor, merchant or individual within the eMerchant Association platform are those of the members and do not reflect the views of eMerchant Association or its affiliates.
You agree that any content, communications, or posts in any eMerchant Association forum or group, and any communications sent and received are proper and relate to the subject matter of the eMerchant Association platform. Member agrees to adhere to all the Terms and Conditions of Use when using the eMerchant Association platform.
As a result of this platform merchants, business owners and professionals may conduct business transactions with vendors providing ecommerce solutions. eMerchant Association does not collect a commission related to these agreements or have any contractual agreements between the two parties when a Job or Project is initiated or agreed upon. eMerchant Association is not responsible for any financial agreements, contracts, money, or fees exchanged between the two parties. Further eMerchant Association assumes no legal responsibility for any related contract issues, disputes or lawsuits that arise from either party, between the two parties related to agreements made between them. The eMerchant Association platform only provides the ability to connect the two parties together. Both parties agree to hold eMerchant Association harmless in any legal action or any financial disputes between the two parties.
You agree that eMerchant Association may, with or without cause, immediately terminate your account and access to eMerchant Association without prior notice. Without limiting the foregoing, the following will lead to a termination by eMerchant Association of user’s account (a) breaches or violations of this User Agreement or other incorporated agreements or guidelines, (b) requests by law enforcement or
other government agencies, (c) a request by you, (d) unexpected technical issues or problems, and (e) extended periods of inactivity. You agree that all terminations shall be made in EMerchant Association’s sole discretion and that eMerchant Association shall not be liable to you nor any third-party for any termination of your account or access to the eMerchant Association Service.
You understand and agree not to use eMerchant Association platform to:
The purpose of the eMerchant Association platform is to provide Merchants with Platform to research, discover, explore and connect with Vendors who can provide services which will enhance the Merchants businesses to effectively operate in the marketplace. For this reason, Vendors who are member of eMerchant Association may not directly solicit Merchants through the eMerchant Association Platform. Merchants can freely contact all vendors on the eMerchant Association Platform. Following an inquiry from a Merchant, Vendors can respond to questions or inquiries related to a service which the Vendor offers. Following the initial inquiry by a Merchant, then a Vendor is free to directly communicate with the Merchant regarding the services the Vendor provides. Once a Merchant indicates they are no longer
interested in discussing the Vendors particular product, Vendor shall cease communication with the Merchant.
While using the eMerchant Association platform, Users may share information about themselves or their companies which may be visible to certain other Users (see our Privacy Policy to learn more about information collected on this website). You understand that by posting materials on the eMerchant Association website or otherwise providing materials to eMerchant Association, you are granting to eMerchantassociation.com a royalty-free, perpetual, revocable license to present this information on the eMerchant association platform. You understand that all information publicly posted or privately transmitted through the eMerchant Association is the sole responsibility of the person from which such content originated and that EMerchant Association will not be liable for any errors or omissions in any content. You understand that EMerchant Association cannot guarantee the identity of any other Users with whom you may interact while using the EMerchant Association platform. Additionally, we cannot guarantee the authenticity of any data which Users may provide about themselves or relationships they may describe. Although eMerchant Association will use its best commercially reasonable efforts to verify said authenticity of any user.
Additionally, EMerchant Association allows Users to create and/or update their own profile. Any information provided by a Vendor for a profile will be available to all Users of the EMerchant Association service. Merchant profiles when created will require all Merchant User information. Although only the name of the individual who uses the Merchant User Profile (not the name of the Merchant Company) will be available to other Users on the site. The purpose of limiting the information available to Vendors, is to prevent unsolicited contact within the platform and outside of the platform. Users who create and/or update their own Profile can change or delete any information they provide if they choose to do so. Please use caution when posting personal identifiable information.
You agree not to monitor or copy, or allow others to monitor or copy, our web pages or the content
included herein. You also agree not to “frame” or otherwise simulate the appearance or function of this website. Furthermore, you agree not to take any action that interferes with the proper working of or places an unreasonable load on our infrastructure, including but not limited to unsolicited communications, attempts to gain unauthorized access, or transmission or activation of computer viruses.
While providing access to the platform, eMerchant Association may need to communicate with you via email (see our Privacy Policy to learn more about communications). Users agree to receive emails which are specific to your account and necessary for the normal functioning of eMerchant Association
platform, including emails about various features, upgrades and changes to the platform. You also agree to have your name and/or email address listed in the header of certain communications which you initiate through the eMerchant Association platform. You may revoke this express consent at any time by emailing support@MerchantAssociation.com.
While we have the right to monitor activity and content on the eMerchant Association platform, although we are not obligated to do so. And since we do not, and may not have the ability to, control or actively monitor content we do not guarantee its accuracy, integrity or quality. Because community standards vary and individuals sometimes choose not to comply with our policies and practices, in the process of using our website, you may be exposed to content that you find offensive or objectionable. You can contact our Customer Service Department to let us know of content that you find objectionable. We may investigate the complaints and violations of our policies that come to our attention and may take any action that we believe is appropriate, including, but not limited to issuing warnings, removing the content or terminating accounts and/or subscriptions. However, because situations and interpretations vary, we also reserve the right not to take any action. Under no circumstances will we be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred because of the use of, access to, or denial of access to any content on the website.
You may cancel your eMerchant Association user account at any time. When a Vendor cancels its User account, it will remain active until the end of the current subscription term unless otherwise terminated. Subscription fees will not be prorated or refunded for partial usage.
By accepting this User Agreement, you agree to indemnify and otherwise hold harmless EMerchant Association, Inc., its officers, employees, agents, subsidiaries, affiliates and other partners from any direct, indirect, incidental, special, consequential or exemplary damages resulting from i) your use of the eMerchant Association platform; ii) unauthorized access to or alteration of your communications through the eMerchant Association platform, or iii) any other matter relating to eMerchant Association. Any business transactions which may arise between Users through their use of the eMerchant Association platform are the sole responsibility of the Users involved.
TO THE FULLEST EXTENT PERMITTED BY LAW EMERCHANT ASSOCIATION, INCLUDING ITS AFFILIATES, WILL NOT BE LIABLE IN CONNECTION WITH THIS USER AGREEMENT FOR LOST PROFITS OR LOST BUSINESS OPPORTUNITIES, REPUTATION (E.G., OFFENSIVE OR DEFAMATORY STATEMENTS), LOSS OF DATA (E.G., DOWN TIME OR LOSS, USE OF, OR CHANGES TO, YOUR INFORMATION OR CONTENT) OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES. EMERCHANT
ASSOCIATION AND ITS AFFILIATES WILL NOT BE LIABLE TO YOU IN CONNECTION WITH THIS CONTRACT FOR ANY AMOUNT THAT EXCEEDS (A) THE TOTAL FEES PAID OR PAYABLE BY YOU TO EMERCHANT ASSOCIATION FOR THE SERVICES DURING THE TERM OF THIS AGREEMENT, IF ANY, OR (B) US $1000.
EMERCHANT ASSOCIATION AND ITS AFFILIATES MAKE NO REPRESENTATION OR WARRANTY ABOUT THE PLATFORM, INCLUDING ANY REPRESENTATION THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, AND PROVIDE THE PLATFORM (INCLUDING CONTENT AND INFORMATION) ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, EMERCHANT ASSOCIATION AND ITS AFFILIATES DISCLAIM ANY IMPLIED OR STATUTORY WARRANTY, INCLUDING ANY IMPLIED WARRANTY OF TITLE, ACCURACY OF DATA, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
eMerchant Association reserves all its intellectual property rights in the Platform. Trademarks and logos used in connection with the Platform are the trademarks of their respective owners. EMerchant Association, the EMerchant Association logo, and other EMerchant Association logos and names are trademarks of EMerchant Association, Inc. You agree not to display or use these trademarks in any manner without EMerchant Association’s prior, written permission.
The exclusive means of resolving any dispute or claim arising out of or relating to this Agreement (including any alleged breach thereof) or the eMerchant Association platform shall be BINDING ARBITRATION administered by the American Arbitration Association under the Consumer Arbitration Rules. The one exception to the exclusivity of arbitration is that you have the right to bring an individual claim against the Company in a small-claims court of competent jurisdiction. But whether you choose arbitration or small-claims court, you may not under any circumstances commence or maintain against the Company any class action, class arbitration, or other representative action or proceeding.
By using the Platform in any manner, you agree to the above arbitration agreement. In doing so, you give up your right to go to court to assert or defend any claims between you and the Company (except for matters that may be taken to small-claims court). You also give up your right to participate in a class action or other class proceeding. Your rights will be determined by a NEUTRAL ARBITRATOR, NOT A JUDGE OR JURY, and the arbitrator shall determine all issues regarding the arbitrability of the dispute. Any proceeding to enforce this arbitration agreement, including any proceeding to confirm, modify, or vacate an arbitration award, may be commenced in any court of competent jurisdiction. In the event that this arbitration agreement is for any reason held to be unenforceable, any litigation against eMerchant Association (except for small-claims court actions) may be commenced only in the federal or state courts located in Orange County, California. You hereby irrevocably consent to the jurisdiction of those courts for such purposes. This Agreement, and any dispute between you and the eMerchant Association, shall be governed by the laws of the state of California without regard to principles of
conflicts of law, provided that this arbitration agreement shall be governed by the Federal Arbitration Act.
